Theindonesiatoday.com - Bayan Resources (BYAN) will control 57% shares of ASX-listed Kangaroo Resources Limited (KRL) via a $277 million transaction.

KRL told Australia Stock Exchange (ASX) this morning that KRL acquires Pakar coal assets in East Kalimantan from BYAN with the issuance of shares worth A$277 million to BYAN. BYAN acquires the coal assets from Ilthabi Bara Utama (IBU) for undisclosed price consideration.

Bayan said in a disclosure to the Indonesian Stock Exchange (IDX) that it had on Tuesday signed the purchase agreement of Kangaroo's shares on which Bayan will exchange its nine coal mine concession with Kangroo's shares.

That nine concessions are owned by PT Ilthabi Bara Utama and Prime Mine Resources. Ilthabi is controlled by Ilham A Habibie, son of former Indonesian president BJ Habibie.

Bayan, Ilthabi and Prime Mine have on Dec. 28, 2010, signed the sale and purchase agreement for that nine coal mine concessions. They are PT Tanur Jaya, PT Apira Utama, PT Cahaya Alam, PT Bara Sejati, PT Tiwa Abadi, PT Sumber Api, PT Silau Kencana, PT Orkida Makmur and PT Dermaga Energi.

Jenny Quantero, BYAN's director, said the company schedules to acquire Kangaroo in the end first quarter of 2011 after concluding due diligence and gaining approval from shareholders.

He said the coal reserve from nine concessions total around 116 MT with their power resource reaching 3.8 billion MT.

KRL stocks gained 5.26% on ASX this morning. BYAN ended higher to Rp17900 in Jakarta Tuesday (Dec 28). At Rp17900, Bayan has market capitalization of Rp59.661 trillion or about US$6.6 billion, bigger than Indo Tambangraya (ITMG) at Rp57.69 trillion and just inches below Bumi Resources (Rp63.36 trillion).
