FUTUREN : Appointment of an independent expert by FUTUREN's Board of Directors
Following the announcement on 11 May 2017 of the execution of a full and final agreement between EDF Energies Nouvelles and FUTUREN's controlling shareholders, the Board of Directors of the Company appointed, on 16 May 2017, the firm Finexsi, represented by Mr. Olivier Peronnet and Mr. Lucas Robin, as independent expert who will be responsible for issuing, in accordance with Article 261-1 of the AMF General Regulation, a report on the financial terms and conditions of the draft simplified public tender offer (offre publique d'achat simplifiée) that would be filed by EDF Energies Nouvelles after the completion of the purchase of 61.6% of FUTUREN's ordinary shares (at a unit price of €1.15) and 96.0% of its convertible bonds (at an ex coupon price of €9.37).
The transaction remains subject to the approval of the German competition authority.
Subject to such approval, the report of the independent expert and the FUTUREN's Board of Directors reasoned opinion will be included in the draft offer document that FUTUREN will prepare and file for approval by the AMF in accordance with applicable regulations.
