Update On AGTech Holdings Limited's Very Substantial Acquisition
(Hong Kong, March 16, 2022) - AGTech Holdings Limited (HKEX stock code:08279) is delighted to announce that on March 15, 2022, Macau Pass Holding Ltd. and its subsidiaries have received all relevant regulatory consents and approvals as are necessary in connection with the proposed change in shareholding (including Macau Pass Co Ltd. having received the written approval of the Monetary Authority of Macao for implementation of the Acquisition and the proposed change in shareholding or control of Macau Pass Co Ltd.), the receipt of which is one of the Closing Conditions.
Closing will take place after fulfillment or waiver of all the other Closing Conditions and upon the parties to the Agreement having completed a series of Closing matters in accordance with the terms of the Agreement. Further announcement(s) will be made by the Company as and when appropriate.
