Annual General Meeting of Adler Modemärkte AG to be Held as Virtual Meeting on 8 October 2020
Focus on Employee and Shareholder Safety

Haibach (near Aschaffenburg), 27 August 2020: Due to the ongoing uncertainties in connection with the COVID-19 pandemic, the Annual General Meeting of Adler Modemärkte AG will be held as a virtual meeting without the physical presence of shareholders or their proxies this year. It is scheduled to start at 10:00 a.m. on 8 October 2020. The Company announced on 26 March 2020 that it would be postponing the Annual General Meeting, which had originally been planned for 6 May 2020 at the Aschaffenburg Stadthalle. ADLER's first priority is to ensure the health and safety of its entire staff, its shareholders and the service providers involved. For this reason, it is making use of the temporary legal provision and holding the Annual General Meeting in virtual form.

ADLER has been closely following developments in recent days and, given the renewed rise in infections, currently sees no alternative to this decision. The legal basis for the decision is the German Act to Mitigate the Consequences of the COVID-19 Pandemic under Civil, Insolvency and Criminal Procedure Law dated 27 March 2020 (Gesetz zur Abmilderung der Folgen der COVID-19-Pandemie im Zivil-, Insolvenz- und Strafverfahrensrecht - the German COVID-19 Act). The Company would have preferred to have given its shareholders the customary opportunity to ask questions and have them answered in person, and remains committed to a close and constant dialogue with all shareholders.

The location of the Annual General Meeting within the meaning of the German Stock Corporation Act (Aktiengesetz) is the Company's offices at Industriestraße Ost 1-7, 63808 Haibach, Germany. Shareholders and their proxies (with the exception of the Company-appointed proxies) have neither the right nor the opportunity to attend the meeting in person. Shareholders and their proxies may only participate by means of electronic communication in accordance with the details and explanations given in the notice convening the meeting as published in the Federal Gazette (Bundesanzeiger). Shareholders and/or their proxies registered in accordance with the regulations will be able to view the full live audio-visual broadcast of the Annual General Meeting on the Company's website on the Annual General Meeting platform. Shareholders will only be able to exercise their voting rights by means of postal ballot or by authorising the Company-appointed proxies.
